Terms and Conditions

1. Introduction
These Terms and Conditions ("Terms") govern access to and use of the website and platform operated by Zaryan Property Pty Ltd trading as Jinport ("Jinport", "we", "us", "our"). By accessing our website, registering an account, or using our platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.
Jinport is a technology-enabled trade platform. We are not a bank, authorised deposit-taking institution, or lender. Credit facilities made available through the platform are provided under separate facility documentation, executed independently of these Terms.
2. Eligibility
The platform is for business use only. By registering, you confirm that:
- you are acting on behalf of a registered business entity with a valid ABN;
- you are authorised to bind that entity to these Terms;
- you are at least 18 years of age; and
- all information you provide is accurate, current, and complete.
We reserve the right to refuse or suspend access to any applicant or account at our discretion.
3. The Platform
Jinport connects Australian importers with trade credit facilities to support China import transactions. Our role is limited to operating the technology platform, facilitating onboarding, and coordinating between the parties involved in a transaction. Jinport does not itself extend credit as principal lender; funding is arranged through affiliated financing partners and special purpose vehicles.
Nothing on the platform constitutes an offer of credit. Any credit facility is subject to separate approval, underwriting, and a signed facility agreement, which will set out the applicable deposit, funded amount, repayment terms, fees, and interest (if any). Where these Terms and a facility agreement conflict on matters relating to a specific facility, the facility agreement prevails.
4. Preliminary Credit Assessment
To assess your eligibility for a Jinport credit limit, you will be required to provide:
- company profile or website;
- business model overview;
- core product information;
- gross facility amount sought;
- preferred credit term (CIF 60 days or EXW 90 days);
- China supplier details, including company and contact information; and
- product items, quantity, and total order value for the goods you intend to purchase.
By submitting this information, you consent to it being shared with Melbourne Brands Pty Ltd, the exclusive partner of Jiashan Luoxing Wenxin Supply Chain Management Co., Ltd for Australia, New Zealand, and the Pacific, and its representative in these markets, for the purposes of conducting the assessment and facilitating the underlying trade transaction. A preliminary assessment does not constitute an offer or approval of credit and is subject to the further underwriting and documentation described in clause 3.
5. Account Registration and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account. Notify us immediately at support@jinport.com if you suspect unauthorised access.
6. User Obligations
You agree to:
- provide accurate business, financial, and identity information as requested for onboarding and ongoing compliance (including KYC/AML checks);
- use the platform only for lawful purposes connected to genuine trade transactions;
- not misrepresent shipment, invoice, or transaction details; and
- comply with all applicable Australian and international trade, customs, and sanctions laws.
We may suspend or terminate access if we reasonably suspect fraud, misrepresentation, or a breach of these obligations.
7. Fees
Jinport charges a service fee of 4.5% of the total order value. This fee is added to your order value before your deposit and funded amount are calculated. For example, on a $100 order, a 4.5% fee ($4.50) brings the total to $104.50, of which 20% ($20.90) is payable as your deposit and 80% ($83.60) is funded and repaid over your agreed term.
Any other fees applicable to platform use or specific credit facilities will be disclosed to you before you incur them, either on the platform or in the relevant facility agreement.
8. Intellectual Property
All content, branding, trademarks, and technology on the platform are owned by or licensed to Jinport. You may not copy, reproduce, or exploit any part of the platform without our written consent.
9. Confidentiality
Each party agrees to keep confidential any non-public business, financial, or transactional information disclosed through the platform, and to use it only for purposes connected to the relevant trade transaction.
10. No Financial, Legal, or Tax Advice
Information provided on the platform or website is general in nature and does not constitute financial, legal, tax, or trade advice. You should seek independent professional advice before making decisions based on any information provided by Jinport.
11. Limitation of Liability
To the maximum extent permitted by law, Jinport excludes all liability for indirect, consequential, or special loss arising from your use of the platform. Where liability cannot be excluded under the Australian Consumer Law or other applicable law, our liability is limited to the resupply of the relevant service.
Jinport is not liable for delays, losses, or disputes arising from the acts or omissions of third parties involved in a transaction, including manufacturers, suppliers, freight forwarders, or financing partners.
12. Indemnity
You agree to indemnify Jinport against any loss, claim, or expense arising from your breach of these Terms, misuse of the platform, or provision of inaccurate information.
13. Suspension and Termination
We may suspend or terminate your access to the platform at any time, with or without notice, where we reasonably consider it necessary to protect Jinport, our partners, or other users, or where you breach these Terms.
14. Changes to These Terms
We may update these Terms from time to time. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms. Material changes will be notified via the platform or by email.
15. Governing Law
These Terms are governed by the laws of Victoria, Australia. Any disputes arising under these Terms are subject to the exclusive jurisdiction of the courts of that state or territory.
